Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the GrowthPilot AI application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, do not install or use our Service.

2. Description of Service

GrowthPilot AI is a Shopify application that provides:

• Automated store health monitoring
• AI-powered issue diagnosis and recommendations
• Email, SMS, and Slack alert notifications
• Uptime tracking and performance analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must have an active Shopify store and install our app through the Shopify App Store. By installing the app, you authorize us to access your store data as described in our Privacy Policy.

You are responsible for:

• Maintaining the security of your Shopify account
• All activities that occur under your account
• Providing accurate and current information
• Notifying us immediately of any unauthorized access

4. Subscription and Billing

4.1 Plans and Pricing

We offer multiple subscription plans with different features and pricing. Current pricing is available on our website and in the Shopify app. Prices are subject to change with 30 days notice.

4.2 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.

4.3 Billing

Subscriptions are billed through Shopify's billing system. By subscribing, you authorize Shopify to charge your payment method on file. Billing occurs monthly or annually based on your selected plan.

4.4 Refunds

All fees and charges are non-refundable. We do not provide refunds or credits for any partial subscription periods, or for any unused time on your account.

4.5 Cancellation

You may cancel your subscription at any time through the Shopify admin. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for early cancellation.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service beyond normal use
• Resell or redistribute the Service without authorization
• Violate any applicable laws or Shopify's terms
• Transmit viruses, malware, or other harmful code

Violation of these terms may result in immediate termination of your account.

6. AI-Generated Content Disclaimer

By using our AI features, you acknowledge and agree that:

• AI diagnoses may not always be accurate or complete
• You should verify AI recommendations before implementing them
• We are not liable for any damages resulting from following AI suggestions
• AI recommendations do not replace professional Shopify developer support
• You are solely responsible for decisions made based on AI output

7. Service Level and Availability

While we strive for high availability, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. Scheduled maintenance will be communicated in advance when possible.

We are not responsible for:

• Shopify platform outages or issues
• Internet connectivity problems
• Third-party service failures (email, SMS providers)
• Issues beyond our reasonable control

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by GrowthPilot AI and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes while your subscription is active.

9. Limitation of Liability

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of liability for certain damages, so some of these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless GrowthPilot AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Actions taken based on AI recommendations

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data after 30 days
• Provisions that should survive termination will remain in effect

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Resolution: Contact us first to attempt to resolve the dispute informally
2. Mediation: If informal resolution fails, parties agree to mediation
3. Arbitration: Binding arbitration as a last resort, with each party bearing their own costs

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GrowthPilot AI regarding the Service and supersede any prior agreements.
